Terms and Conditions of Service

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Cliencer LLC ("Cliencer," "we," "us," or "our"), a limited liability company organized under the laws of Wyoming, USA (EIN: 38-4356116).

By accessing or using the Cliencer platform, creating an account, or clicking "I accept" during registration, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Description of Service

Cliencer provides a Software-as-a-Service (SaaS) platform designed to help businesses engage with their customers through challenges, rewards, and loyalty programs. Our services include:

  • Customer engagement tools and challenge creation
  • Loyalty and rewards program management
  • Analytics and reporting features
  • Business dashboard and administration tools

3. Free Plan and Upgrades

Free Plan: New users start with a Free plan that includes up to 20 participations per month at no cost. No payment information is required to activate the Free plan.

Plan Upgrades: You may upgrade from the Free plan to a paid plan at any time. Your payment method will be charged according to the pricing plan you selected.

Cancellation: You may cancel your paid subscription at any time. Upon cancellation, your account will revert to the Free plan at the end of the current billing cycle.

4. Subscription and Pricing

Pricing: Subscription fees are as follows:

  • Free plan: $0 USD per month (20 participations per month)
  • Emprendedor plan: $10 USD per month (60 participations per month)
  • Pro plan: $25 USD per month (200 participations per month)

Billing Cycle: Subscriptions are billed monthly on a recurring basis. Your billing cycle begins on the date you subscribe to a paid plan.

Payment Processing: All payments are processed securely through Stripe, Inc. By providing your payment information, you authorize Cliencer to charge your payment method on a recurring monthly basis.

Failed Payments: If a payment fails, we will attempt to process it again. If payment cannot be collected after reasonable attempts, your account may be suspended or terminated.

Price Changes: We reserve the right to change our pricing with 30 days' prior notice. Price changes will not affect your current billing cycle and will take effect in your next billing period.

5. Cancellation and Refunds

Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period.

Access After Cancellation: Upon cancellation, you will retain access to the service until the end of your paid period. After that, your account will be downgraded or deactivated.

No Refunds: All subscription fees are non-refundable. If you cancel a paid subscription, you will not receive a refund for the current billing period or any unused portion thereof.

6. Account Responsibilities

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Business Use: The Cliencer platform is intended for use by businesses and business owners. You represent that you have the authority to bind the business entity you represent to these Terms.

7. Acceptable Use Policy

You agree not to use the Cliencer platform to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Transmit any harmful, offensive, or inappropriate content
  • Send spam, unsolicited communications, or engage in fraudulent activities
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the service
  • Use the service for any illegal or unauthorized purpose

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

8. Intellectual Property

Ownership: Cliencer retains all rights, title, and interest in and to the platform, including all software, technology, designs, trademarks, and other intellectual property.

Your Content: You retain ownership of any content you upload or create using the Cliencer platform. By using our service, you grant Cliencer a limited license to use, store, and display your content solely for the purpose of providing the service to you.

9. Limitation of Liability

Service "As Is": The Cliencer platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation: To the maximum extent permitted by law, Cliencer LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the service
  • Any bugs, viruses, or other harmful code transmitted through the service by any third party

Maximum Liability: In no event shall Cliencer's total liability to you for all damages exceed the amount you paid to Cliencer in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cliencer LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the service, your violation of these Terms, or your violation of any rights of another party.

11. Modifications to Service and Terms

Service Changes: We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

Terms Updates: We may update these Terms from time to time. If we make material changes, we will notify you by email or through the service. Your continued use of the service after such notification constitutes acceptance of the updated Terms.

12. Termination

Termination by You: You may terminate your account at any time by canceling your subscription through your account dashboard.

Termination by Us: We reserve the right to suspend or terminate your account if you violate these Terms, fail to pay fees when due, or engage in any conduct that we determine, in our sole discretion, to be inappropriate or harmful to the service or other users.

Effect of Termination: Upon termination, your right to use the service will immediately cease. We may delete your account and all associated data. Provisions of these Terms that by their nature should survive termination shall survive, including limitations of liability and dispute resolution provisions.

13. Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Jurisdiction: You agree that any dispute arising from these Terms or your use of the service shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@cliencer.com. We will attempt to resolve the dispute informally within 60 days.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cliencer regarding the use of the service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
